Job Description
The Senior Paralegal will provide essential legal operations and administrative support to the legal department of a publicly traded renewable energy company, enabling attorneys to focus on complex legal matters and strategic initiatives. As a vital member of the legal team, this position serves as a bridge between legal affairs and various departments, translating complex legal concepts into actionable tasks that ensure the smooth operation of all corporate and general legal matters. The Senior Paralegal is responsible for assisting attorneys in maintaining corporate records, the preparation and review of corporate and commercial documents, facilitating corporate transactions, maintaining the Company's extensive intellectual property, and handling regulatory compliance, including public company related compliance matters.
The Senior Paralegal serves as the organizational hub of the legal function, maintaining systems and processes that ensure accuracy and efficiency across all legal work while supporting the Company's regulatory obligations as an international NYSE-listed public company. This is a key operational role that directly impacts the effectiveness and productivity of the entire legal team and the Company's compliance posture. This role is a full-time, hybrid role in Westlake Village, CA with a degree of work-from-home flexibility. Exceptional candidates outside the Westlake Village, CA area may be considered.
Your Mission
- Manage entity formation and corporate compliance as a primary focus, including: drafting formation documents (certificates of incorporation/formation, LLC Agreements/Bylaws), establishing new entities and subsidiaries, maintaining comprehensive corporate records and documentation (including minute books and entity data sheets), tracking entity good standing status across all jurisdictions (including foreign jurisdictions), maintaining and updating detailed organizational charts reflecting the company's complex structure, and monitoring all compliance deadlines and filing requirements.
- Maintain and organize all legal files, documents, and records using appropriate filing systems, databases, and document management platforms; ensure consistent organization, naming conventions and easy retrieval of materials across the legal department.
- Draft and review routine legal documents including NDAs, service agreements, and other standard contracts under attorney supervision.
- Support attorney contract review and negotiation by preparing summaries, flagging key terms and risks, researching precedent agreements, and assisting with redline tracking and version control.
- Assist with the oversight and maintenance of the Company's extensive intellectual property portfolio, including maintaining the Company's patent and trademark logs, monitoring compliance with renewal deadlines across all jurisdictions, liaising with internal stakeholders and external counsel in making renewal determinations, assisting with the collection of materials in support of trademark and patent applications under attorney supervision.
- Serve as primary coordinator for contract execution, including preparation of signature packages, facilitating e-signatures and DocuSign administration and maintaining complete execution records.
- Assist in the organization and preparation for Board and Committee meetings and Annual Shareholders Meetings, including help in preparing agendas, minutes, resolutions, meeting materials.
- Obtain and maintain both a CA and remote notary commission; perform notarization and certification functions as needed for company contracts and corporate matters.
- Support public company compliance matters, including the review of '34 Act filings, the preparation and filing of Section 16 Reports, monitoring SOX controls compliance, assisting with NYSE SLAP filings and annual certifications.
- Provide support with litigation and other legal disputes, including assistance with the distribution of Legal Hold Letters, collection and organization of discovery materials, updating litigation logs and liaising with external counsel.
- Create, maintain, and expand a comprehensive legal form files library that serves as a centralized resource for commonly used legal documents and templates. This includes: developing and organizing standardized forms for contracts, NDAs, corporate documents, compliance materials, and other frequently used legal instruments; ensuring all forms comply with current federal, state, and company policies; maintaining version control and tracking updates to forms; creating user-friendly documentation and indexing systems to facilitate attorney and departmental access; regularly reviewing forms for accuracy and relevance; coordinating with attorneys to identify new form needs; and training legal department staff on proper use of the form library.
- Maintain legal department calendars and deadline management systems that track all critical dates, including: entity filing deadlines, contract renewal dates, regulatory compliance dates, board meeting schedules, statute of limitations deadlines, and other time-sensitive legal matters. This includes: establishing comprehensive tracking systems and alert protocols; coordinating calendars across the legal department to ensure no deadlines are missed; providing regular deadline reports to attorneys; managing matter timelines and milestones; coordinating with other departments on externally-imposed deadlines; and maintaining backup systems to ensure continuity of critical deadline tracking.
- Serve as point of contact for legal questions and requests from other departments; provide guidance on legal processes, timelines, and entity management procedures.
- Perform other activities as needed.
Your Background
- 8+ years as a Paralegal in a law firm and/or corporate environment, or equivalent, with substantial experience in entity formation, corporate compliance, and entity management.
- Paralegal certificate or bachelor's degree.
- Demonstrated expertise in drafting and maintaining formation documents, corporate records, organizational structures, and entity compliance matters.
- A current and valid Notary Public commission in the State of California and remote notary commission or willingness to acquire such commission and a remote notary commission.
- Excellent organizational and time management skills with ability to manage multiple priorities and maintain complex compliance calendars.
- Strong written and verbal communications skills.
