Our Development Business Line is looking for a talented and experienced legal counsel to join our company as we grow rapidly and expand into different markets across Europe and Africa. This position will be based in Portugal and will have the following responsibilities:

  • Manage and be involved in a variety of legal and commercial matters across the EAI perimeter to support the asset owners performance in the development of the projects;
  • Provide legal guidance and innovative solutions to the asset owners and/or to the different issues where asset owners are dealing with on the development of the projects;
  • Support the different teams involved in the drafting and negotiation of the documents supporting their activities, including drafting, negotiating and advice on commercial agreements specially when this comes as a result of a relevant CP including drafting and/or amendments in land options, leases, connection agreements, PPAs, tender documents, etc. To assist where necessary claims or issues in relation with the same agreements;
  • Support on the process for the procurement of services or equipment from the legal stand point during the operation (for instance procurement of additional equipment, procurement of services), be involved in potential litigations with Dev./IPP suppliers;
  • Support with validation from the SPV standpoint or amendments of the internal project documents (O&M, EPC, dev, asset management) when required;
  • Assist in case of specific registration, change in law specifically in countries with new Renewable or fast evolving market legislation, performed when required some due diligence on specific matters (change in tax, change in law, legal requirements for the Project (where not technical);
  • Provide support in relation with the management of the shareholder agreement (where relevant), analyze the obligation, provide where necessary amendments;
  • Accompany the projects, mainly the asset o owners, through financial close, specifically on the following and fulfilment of the relevant Condition Precedents along supporting asset owners and development team liaising with lenders legal advisors, and in the course of the implementation of the loan for the completion of the financing (criteria to allow distribution), or on evolution of the projects which may require a waiver of the CTA conditions (such as change of insurance market, change of the shareholding structure, delay or material change in the project execution);
  • Contribute to the risk assessment of the activities of the business unit, its business partners, suppliers and other business stakeholders.

Requirements

The ideal candidate will have/ be:

  • Education in business law;
  • Knowledge in renewable energy projects at least in the past 4-5 years;
  • Must have international experience, with a commercial profile;
  • Proven track record of complex commercial negotiations;
  • Experience in project finance process is a plus;
  • Some background in M&As matters is a plus;
  • English proficiency
