Senior Corporate Counsel
Job Description
The Senior Corporate Counsel will be a member of the in-house legal group that supports all aspects of the company's businesses. Initially, it is expected that the Senior Corporate Counsel will primarily support the company's Data Center business unit. The Senior Corporate Counsel is responsible for providing legal expertise in the acquisition, development, financing and sale of infrastructure projects, in particular data centers, solar energy and energy storage projects. The Senior Corporate Counsel will be a part of a dynamic, collaborative team and work closely with other departments within the company (such as project development, permitting, business development, engineering, and construction). The employee may be required to perform other job-related duties as requested by management. All duties will be assigned in accordance with applicable laws and company policies.
This position reports to the General Counsel or another senior leader. This position is expected to travel up to 10%.
Our main corporate office is located in Houston, TX. While we prefer local candidates, we are open to allowing the right candidate to work remotely if they are not local to the Houston, TX area.
Responsibilities
- Negotiate, review, and manage all legal aspects of project acquisition, development, financing, and sale;
- Manage outside counsel assisting on all aspects of the Company's business
- Provide support to due diligence and project development related issues, including PPA, Interconnection, real estate, environmental, permitting, and regulatory;
- Draft and review consulting agreements, services agreements, and other general corporate legal documents as needed;
- Coordinate efforts with other internal teams to propose appropriate risk management, identify critical project risk issues and make recommendations and provide summation of documents for execution;
- Facilitate working with Hanwha affiliates
All other duties as assigned by the General Counsel
Required Qualifications
- Juris Doctor degree from an accredited law program and active member of the Bar
- Minimum of 4 years of experience, including minimum of 3 years of significant experience in infrastructure project development, M&A, and/or finance
- Strongly preferred: experience with data center development
- Direct experience with project financing concepts and terms
- Willingness to travel, up to 10%
- Strong team player
- High degree of professionalism and conduct at all times
- Excellent organizational skills
- Excellent verbal and written communication skills
- Ability to multi-task, set priorities, meet deadlines
- Excellent academic and work credentials
- Microsoft office suite proficiency
Compensation
$200,000 - $260,000
