Als Corporate Lawyer - Gesellschaftsrecht (m/w/d) bist du verantwortlich für die rechtliche Beratung und Begleitung gesellschaftsrechtlicher Vorgänge. Du arbeitest hier idealerweise von unserem Headquarter in München aus.

Deine Aufgaben

Rechtliche Beratung zu gesellschafts- und aktienrechtlichen Fragestellungen aller Art sowie bei der Strukturierung und Durchführung von Unternehmenstransaktionen (M&A) und konzerninternen Umstrukturierungen
Rechtliche Beratung des Vorstandes bei der organisatorischen und prozessualen Umsetzung sowie Weiterentwicklung des Corporate Governance Systems
Corporate Office Support durch Vorbereitung, Begleitung und Nachbearbeitung von Sitzungen des Vorstands, des Aufsichtsrats sowie von Ausschüssen
Rechtliche Betreuung der Konzernfinanzierung einschließlich Sicherheitenverträge
Erstellung, Prüfung und Verhandlung von konzerninternen und externen Verträgen und Vertragsmustern aus den Bereichen Zivil-, Handels- und IT-Recht
Steuerung in- und ausländischer Berater

Das bringst Du mit

Du bist Volljurist/in mit überdurchschnittlichen Examina
Du hast mehrjährige Berufserfahrung im Gesellschaftsrecht, idealerweise im Aktienrecht und in der Corporate Governance
Kenntnisse im Finanzierungsrecht sind von Vorteil
Du bringst ein gutes Verständnis für wirtschaftliche Zusammenhänge mit, denkst unternehmerisch und überzeugst durch ausgeprägtes Verhandlungsgeschick
Du erarbeitest eigenständig konstruktive Lösungen für juristische Fragestellungen
Du arbeitest gerne in einem interdisziplinären und internationalen Team
Du zeichnest dich durch Flexibilität und einen effizienten Arbeitsstil aus
