Als Corporate Lawyer - Gesellschaftsrecht (m/w/d) bist du verantwortlich für die rechtliche Beratung und Begleitung gesellschaftsrechtlicher Vorgänge. Du arbeitest hier idealerweise von unserem Headquarter in München aus.
Deine Aufgaben
- Rechtliche Beratung zu gesellschafts- und aktienrechtlichen Fragestellungen aller Art sowie bei der Strukturierung und Durchführung von Unternehmenstransaktionen (M&A) und konzerninternen Umstrukturierungen
- Rechtliche Beratung des Vorstandes bei der organisatorischen und prozessualen Umsetzung sowie Weiterentwicklung des Corporate Governance Systems
- Corporate Office Support durch Vorbereitung, Begleitung und Nachbearbeitung von Sitzungen des Vorstands, des Aufsichtsrats sowie von Ausschüssen
- Rechtliche Betreuung der Konzernfinanzierung einschließlich Sicherheitenverträge
- Erstellung, Prüfung und Verhandlung von konzerninternen und externen Verträgen und Vertragsmustern aus den Bereichen Zivil-, Handels- und IT-Recht
- Steuerung in- und ausländischer Berater
Das bringst Du mit
- Du bist Volljurist/in mit überdurchschnittlichen Examina
- Du hast mehrjährige Berufserfahrung im Gesellschaftsrecht, idealerweise im Aktienrecht und in der Corporate Governance
- Kenntnisse im Finanzierungsrecht sind von Vorteil
- Du bringst ein gutes Verständnis für wirtschaftliche Zusammenhänge mit, denkst unternehmerisch und überzeugst durch ausgeprägtes Verhandlungsgeschick
- Du erarbeitest eigenständig konstruktive Lösungen für juristische Fragestellungen
- Du arbeitest gerne in einem interdisziplinären und internationalen Team
- Du zeichnest dich durch Flexibilität und einen effizienten Arbeitsstil aus
