Job Description
We are seeking a Legal Intern to join our legal team in support of the business' growth. The Legal Intern will report to the Assistant General Counsel and General Counsel and assist with supporting transactions, corporate strategy, new opportunities, the legal, regulatory and compliance aspects of day-to-day operations, commercial and organizational improvements, and more.
The successful candidate will be a self-motivated critical thinker and meticulous legal drafter, with a business and team mindset and that is willing to learn and able to assist with ensuring legal compliance and limiting corporate risk exposure.
Summer 2026 Internship. This role is based full-time in our office in Edison, NJ. Specific location details and expectations will be discussed during the interview process.
Position Responsibilities and Duties
General
- Bases his/her decision-making process on ethics, integrity, and transparent communication.
- Creates associations of trust and respect with key stakeholders - both internal and external.
- A thoughtful evaluator of a broad spectrum of inputs, impacts and outputs of any decision and course of action.
- Takes initiative in all work support areas and in driving efficiencies in legal processes and support.
- Team and cross-functional player, with the ability to transition between legal and commercial support roles depending on the circumstances.
Strategy & Growth
- Assist in the monitoring of legal developments, legislative changes, new laws, existing laws, and legal rights in the construction industry, particularly in relation to solar and tax equity finance, and conveys relevant developments and potential impacts to the legal team.
- Assist with partnering with Development and Finance Teams on financing matters, including asset and equity sale transactions, strategic investments, and other financing transactions.
- Assist with work related to the review and negotiation of development contracts: power purchase agreements (PPAs), lease agreements and others.
- Assist with identifying proactive solutions that will eliminate or mitigate risks.
- Support special projects and additional requests as needed.
Day-to-Day Operations
- Assist with research, document drafting and review as it pertains to:
- commercial contracts including sale of goods and services, equipment and materials supply agreements, warranty terms and conditions, non-disclosure agreements, and related documentation.
- contracts and legal documents for corporate transactions, including acquisitions, JVs, debt and equity financings, and related term sheets and letters of intent.
- EPC agreements, subcontracts, purchase orders, and operations and maintenance (O&M) agreements.
- Prepare, review and revise legal communications, letters and notices.
- Assist with liaising with the Pre-Sale teams to ensure accurate flow downs from prime contracts into subcontracts.
- Assist with compliance and recordkeeping for legal entities, documents and proceedings.
- Provide support for regulatory filings.
- Assist with collaborations with Operations and Procurement to manage construction-related claims and disputes.
- Assist with providing day-to-day guidance to the Operations group on matters ranging from contract interpretation to documentation.
- Assist with claim management.
Minimum Skills or Experience Requirements
- 1L or higher and currently enrolled full-time at an accredited American Bar Association (ABA) law school as a Juris Doctorate degree candidate.
- Bachelor's degree.
- Has an overall cumulative GPA of 3.2/4.0 or higher.
- Excellent researcher and multi-tasker with solid time management skills.
- Proficient use of Microsoft Office applications such as Word, Excel, Access, Outlook, Teams, SharePoint, and PowerPoint.
- Knowledge and/or strong interest in the renewable energy industry and corporate law.
- Excellent organizational and interpersonal skills with demonstrated ability to successfully assist in collaborative efforts across the commercial teams.
- Excellent reading, analytical, writing, and presentation skills.
- High level of integrity and dedication to excellence.
- Ability to not only anticipate legal issues or risks (short and long-term) but to be solution-oriented in resolving such issues/risks.
- Ability to work a minimum of 30 hours per week for a continuous 12-week period.
Preferred Skills or Experience
- Excellent academic credentials from a top-tier law school.
- Experience in the legal fields of energy (including renewable energy, development, real estate and/or structured and project finance).
- Proven track record at being self-motivated and comfortable in a fast-paced, high growth- company environment.
