The Role
The Senior Tax Manager will be CoVolt's first in-house tax leader, with overall responsibility for all tax matters across the company and its subsidiaries. Outside advisors currently prepare the income tax provision, tax receivable agreement (TRA) calculations, partnership returns and K-1s; this role directs and reviews that work, owns the results, and builds the tax department as more work moves in-house. We are looking for a self-starter who takes full ownership without day-to-day oversight and can serve as the company's tax authority for a leadership team that does not have a tax background. This role is based in the Houston office (4 days in office, 1 day remote).
Key Responsibilities
-
Build CoVolt's tax department: processes, tax calendar, documentation standards, review checklists and a filing tracker covering every legal entity.
-
Assess current advisor arrangements and recommend what stays outsourced and what moves in-house, with a hiring and budget plan to get there.
-
Direct outside tax advisors across all direct tax work; set scope, deadlines and data requests, manage engagement letters and fees, and review deliverables at a detailed technical level before they are recorded, filed or shared with auditors.
-
Review the quarterly and annual ASC 740 income tax provision, including current and deferred tax, rate reconciliation, valuation allowance, uncertain tax positions and Up-C accounting (outside basis, noncontrolling interest, deferred tax assets from unit exchanges).
-
Review income tax, TRA and NCI footnotes and tax content in Forms 10-Q, 10-K and registration statements; serve as primary contact with the external auditor's tax team.
-
Oversee TRA calculations and the quarterly TRA liability, annual tax benefit schedules and payments to holders, and explain TRA effects of forecasts, transactions and tax law changes to leadership.
-
Oversee partnership compliance: Form 1065, K-1s, K-2/K-3s, state composite and withholding filings, 704(b)/704(c) capital accounts, outside basis and quarterly tax distribution calculations; respond to investor K-1 questions.
-
Oversee the federal Form 1120, state income tax returns, Texas franchise (margin) tax and other state franchise taxes, extensions and estimated payments for all entities.
-
Track every direct tax notice to resolution and address nexus and registration questions as projects enter new states.
-
Design SOX-compliant review controls over the provision, TRA and tax compliance.
-
Identify tax planning opportunities and risks from acquisitions, restructurings, financings, legislative changes and renewable energy incentives; partner with Legal and Treasury on entity structure and cash tax forecasting.
-
Lead federal and state income tax audits with advisor support.
-
Manage, coach and develop the Indirect & Project Tax lead, who owns sales and use, project, and property taxes; act as escalation point on SALT notices, audits and project taxability questions.
Qualifications
-
Bachelor's degree in Accounting; Master's in Taxation preferred.
-
8+ years of corporate income tax experience, including Big 4 or national firm experience and time in an industry role.
-
2+ years supervising tax professionals.
-
Experience as the first or lead tax hire at a pre-IPO or newly public company preferred.
-
Active CPA license
-
Strong ASC 740 knowledge, including review of a public-company provision and tax footnotes.
-
Deep partnership tax knowledge: Form 1065, K-1s, 704(b)/704(c), 743(b) adjustments and tax distributions.
-
Experience with an Up-C structure and TRA, or a comparable partnership-over-corporation structure.
-
Proven ability to manage outside advisors and auditors, and to review and challenge their work in detail.
-
Self-starter who works independently, sets priorities and follows through without regular oversight.
-
Experience building or substantially improving a tax function: processes, calendars, controls and team.
-
Clear communicator who can explain technical tax issues to non-tax executives and the board.
-
Working knowledge of multistate sales and use taxes, Texas franchise tax and renewable energy credits preferred.
-
Experience in construction, EPC, engineering or energy companies preferred.
