Job Description
As the Senior Associate for Paralegal and Corporate Secretarial services, you will play a vital role in supporting our legal function in Taiwan. You will be responsible for a range of tasks, including legal entity management and investment structuring, corporate documentation, and ensuring compliance with Taiwanese laws and regulations.
Key Responsibilities
- Legal Entity Management:
- Maintain and manage records for multiple legal entities in Taiwan.
- Ensure compliance with Taiwanese corporate governance requirements, including regular filings with local authorities (Ministry of Economic Affairs, etc.).
- Organize and update corporate documentation, such as Articles of Incorporation, bylaws, shareholder agreements, and other corporate records.
- Corporate Governance:
- Prepare and draft board and shareholder resolutions, notices, and meeting minutes.
- Coordinate and manage board meetings, general meetings, and other corporate meetings.
- Liaise with internal and external stakeholders to ensure proper corporate governance practices are followed.
- Investment Structuring:
- Assist in structuring and reviewing investment vehicles and corporate structures for both domestic and foreign investors.
- Conduct legal research and provide support in areas related to foreign direct investment (FDI) and investment regulations in Taiwan.
- Collaborate with external legal advisors and consultants as necessary.
- Foreign Investment Approvals:
- Prepare and submit applications for foreign investment approvals to relevant authorities, including the Investment Commission of Taiwan.
- Monitor and manage ongoing foreign investment approvals and regulatory compliance.
- Track deadlines, manage correspondence with regulatory bodies, and ensure timely renewals and filings.
- Compliance and Regulatory Affairs:
- Ensure compliance with local laws, including foreign investment, corporate, and commercial laws in Taiwan.
- Keep abreast of changes in Taiwanese laws and regulations and advise the legal team and relevant stakeholders accordingly.
- Assist with other regulatory filings and company compliance matters as needed.
- Other Legal and Administrative Support:
- Support ad hoc legal tasks and projects as required by the legal team.
- Assist in managing relationships with external law firms, government agencies, and other service providers.
Education
- Bachelor’s degree in Law or a related field.
Experience
- 5 years of relevant experience in a law firm, corporate legal department, or corporate governance team.
- Experience with legal entity management, foreign investment, and corporate governance matters in Taiwan is highly preferred.
Skills
- Strong understanding of corporate law and regulatory compliance in Taiwan.
- Experience drafting legal documents, board resolutions, and corporate filings.
- Excellent organizational skills, attention to detail, and the ability to manage multiple tasks.
- Strong communication and interpersonal skills.
- Familiarity with investment structuring and foreign investment regulations in Taiwan is a plus.
- Proficiency in legal research tools, Microsoft Office Suite, and other relevant legal management software.
- Strong analytical and problem-solving skills.
- Ability to work independently with minimal supervision while also being a team player.
- High degree of professionalism and confidentiality.
