Au sein de notre holding, leader dans la production d’énergie renouvelable avec un modèle « Build to Operate » (250 M€ de CAPEX investis par an en moyenne), en tant que juriste stagiaire, vous serez intégré-e au sein de la Direction juridique et participerez activement aux opérations d’acquisition et de développement international de l’entreprise.

Missions

A ce titre, votre mission s’articulera notamment autour des axes suivants :

Appui au financement : participation au refinancement des opérations d’acquisition (financement corporate et/ou financement de projet), contribution aux audits juridiques, participation à la coordination avec les banques et les autres parties prenantes dans le cadre des closing et consolidation, préparation des demandes de waivers ;
Appui au développement : analyse des risques juridiques des projets de croissance organique (France et étranger), rédaction et négociation de term sheet et de protocoles d’accord et/ou accords de joint-venture ;
Appui au M&A : analyse des risques juridiques des opérations de croissance externe (France et étranger), élaboration de la structuration des opérations, négociation des contrats d’achat d’actions ou d’actifs, suivi de la préparation des signing et closing ;
Transversal : selon l’actualité de la direction juridique, vous pourrez également intervenir en support sur des autres sujets contractuels ou droit des sociétés ;
Veille : tenue de la veille juridique française du Groupe.

De manière générale, vous contribuerez au support juridique des équipes opérationnelles à tous les stades des projets.

Profil recherché

Vous êtes en dernière année de Master 1 ou 2 en droit des affaires, droit des contrats ou droit des sociétés. Idéalement, vous avez une première expérience en droit des affaires, idéalement en droit des contrats et/ou en droit des sociétés. Vous avez une bonne maîtrise des outils bureautiques (Word, Excel, PowerPoint) et des logiciels de gestion de contrats.
