Job Description
We are looking for an experienced and commercially minded Senior Legal Counsel to join our growing Legal team. You will work closely with our General Counsel and play a central role in structuring, negotiating, and executing transactions across our global portfolio - from M&A and project finance to corporate governance and compliance. This is a unique opportunity to work at the intersection of law, finance, and renewable energy, taking ownership of high-value, cross-border deals while helping shape a legal function that supports the business at every level.
Your main responsibilities
- Lead drafting, negotiation, and execution of M&A transaction documents, including SPAs, SHAs, JVAs, and related ancillary agreements
- Advise on project finance structures, including review and negotiation of facility agreements, security packages, and intercreditor arrangements
- Support due diligence processes on acquisitions and disposals, coordinating with external counsel across jurisdictions
- Drive risk assessment and mitigation strategies across deal structures, balancing legal robustness with commercial pragmatism
- Act as a strategic legal advisor to the investment and finance teams, ensuring alignment between legal frameworks and transaction objectives
- Manage and coordinate external legal counsel on transactions, controlling quality and cost
- Handle corporate governance and tax matters, including entity structuring, board documentation, and regulatory and tax filings across multiple jurisdictions
- Own and maintain internal company policies, ensuring these are kept current, properly documented, and aligned with regulatory requirements and business needs
- Support broader corporate administration including maintenance of corporate records, power of attorney registers, signing authorities, and group entity housekeeping
- Maintain and administer the company's insurance portfolio, including coordinating renewals, ensuring adequate coverage across jurisdictions, and liaising with brokers and insurers
- Strengthen collaboration between Legal and business functions, acting as a bridge between legal and financial teams
- Contribute to the continuous development of legal templates, processes, and best practices

- You hold an EU or UK law degree and are a qualified lawyer with a minimum of 5 years of post-qualification experience from a law firm or in-house legal function within renewable energy, project development, or infrastructure financing
- Solid experience in M&A, project finance, and corporate law within energy, infrastructure, or large-scale project environments
- Proven ability to manage high-value transactions and complex multi-party negotiations
- Strong business acumen with the ability to translate legal advice into practical, commercially sound solutions
- Excellent drafting and negotiation skills in English; proficiency in Danish is an advantage
