Job Description
Ecoplexus Inc. is a leading renewables developer, owner, and operator with end-to-end execution capabilities, including all phases of development, financing, EPC, O&M, and asset management. The company focuses on utility-scale solar and energy storage projects in the 75-400 MW range in the U.S. We’ve successfully developed 90 projects in the US from greenfield site selection to commercial operation.
The Counsel – Commercial will support various activities of Ecoplexus Inc. The position will be part of the Company’s legal team and provide services to multiple internal departments, with a focus on the Finance, Procurement, and Development business groups. The role will be assigned the overall legal responsibility for corporate or project financings. Additionally, the role may handle contract requirements in coordination with other groups such as Procurement, Engineering, Land, Permitting, and Transmission. The role requires exceptional legal, project management, negotiation, and interpersonal relationship skills. Responsibilities will include but not be limited to:
Duties and Responsibilities
- Draft, review, and negotiate corporate and project financing documents
- Draft, review, and negotiate procurement and other EPC-related agreements
- Draft, review, and negotiate consulting services agreements, master services agreements, and other general corporate legal agreements as needed
- Manage legal aspects of transaction agreements and negotiations, including project acquisitions and sales
- Draft, review, and negotiate other Development agreements, including PPAs, land, interconnection, permitting and title agreements
- Manage legal aspects of due diligence processes for selected transactions
- Manage outside counsel as needed
- Manage paralegals and other staff as needed
- Other tasks as assigned by the General Counsel
Qualifications
- JD degree
- Minimum 3 years of experience drafting and negotiating financing agreements
- Direct experience with project financing concepts and terms
- Direct experience with PPAs, EPC, and related contracts for traditional or renewable energy or other infrastructure projects a plus but not required
- Strong work ethic and ability to self-start and adapt in a fast-paced team dynamic
- Strong project, process, and organizational skills
- Ability to manage multiple projects simultaneously
- Excellent written and verbal communication skills
- Outstanding sense of humor

Pay Range: $130,000.00 - $170,000.00 *
Actual compensation may vary from posting based on geographic location, work experience, education and/or skill level.
