Solar Provider Group (SPG) develops large-scale solar projects across North America and Europe. We identify suitable sites, secure land agreements, and manage permitting and regulatory approvals to bring projects to the point of construction. By working closely with landowners, communities, and industry partners, we ensure projects are well-positioned for success. With a deep understanding of market dynamics and regulatory frameworks in each region, our team navigates the complexities of solar development to create viable, bankable projects that support the expansion of renewable energy.

Who are we looking for?

We are seeking a corporate-focused paralegal with strong experience in both Canadian and U.S. corporate law, and exposure to real estate transactions. The successful candidate will work closely with the Legal and Real Estate teams to support entity formation and maintenance, corporate governance, project transactions, and the legal aspects of solar project development.

The role involves hands-on support with entity formation, minute book maintenance, project transaction closings, and corporate structuring in both jurisdictions. It reports directly to the General Counsel, and requires someone comfortable taking ownership of their work, communicating effectively across departments, and navigating a fast-paced, evolving environment.

This is a hybrid role based in our Liberty Village office in Toronto, or a fully remote position for candidates located in the U.S. Preference will be given to Toronto-based candidates with both Canadian and U.S. corporate experience.

We’re looking for someone who is solutions-oriented, detail-focused, and proactive, with the ability to manage multiple priorities and collaborate effectively with internal and external stakeholders.

Duties and Responsibilities

  • Assist with corporate governance in Canada and the U.S., including entity formation, maintenance, amendments, and dissolutions.
  • Assist with the drafting and organization of corporate and transactional documents, including for project sales and M&A.
  • Maintain legal records and corporate organizational charts.
  • Assist with the drafting and tracking of non-disclosure agreements, services agreements, and other corporate contracts, including key obligations and deadlines.
  • Coordinate internal due diligence and assist with responses to external diligence requests.
  • Collaborate with internal teams, including Finance and Development, to ensure legal deliverables are aligned and met.
  • Support the Legal and Development teams through all stages of solar project development, from site acquisition to project sale.
  • Assist in the development of templates for frequently used agreements and contribute to document management best practices.
  • Conduct legal research related to corporate governance, compliance, and renewable energy regulations.
  • Identify and propose opportunities to improve legal workflows and internal processes.
  • Support the Real Estate team with land agreement documentation, title review coordination, and lease tracking, as needed.

Qualifications

  • 5+ years of experience in a paralegal role, with exposure to both Canadian and U.S. corporate law.
  • Demonstrated experience supporting entity management, corporate governance, and project transactions.
  • Experience with real estate documentation, title review, or land leasing is an asset.
  • Paralegal diploma or certificate preferred; U.S. or Canadian accreditation where required by law.
  • Excellent organizational skills with strong attention to detail and an ability to manage multiple deadlines.
  • Proficiency in legal and document management tools, and Microsoft Office Suite.
  • Strong communication skills and a collaborative, team-oriented approach.
  • Experience in renewable energy or infrastructure is a plus but not required.
