This is a pivotal role for a senior legal professional, primarily focused on Commercial Law, to drive Sunrun's core mission. You will serve as an in-house legal expert, leading a wide range of commercial & corporate activities, including drafting and negotiating equipment procurement contracts, real estate leases, grid services agreements, and agreements with our sales, installation, and home builder partners, among others. Your strategic counsel on drafting and negotiating a variety of commercial contracts will directly enable the rapid expansion of clean energy solutions, requiring mastery-level expertise and the autonomy to advise executive stakeholders.

Key Responsibilities

Strategic Commercial Transactions

  • Provide strategic direction in the drafting, review, and negotiation of a broad range of both strategic and day-to-day commercial agreements critical to the business.
  • Develop and implement contract templates, policies, and procedures to ensure high-quality, efficient legal operations.
  • Manage Intellectual Property Assets: Advise on trademark strategy and oversee the protection of Sunrun's IP portfolio in commercial transactions, ensuring brand guidelines and licensing provisions are robustly negotiated and enforced.

Corporate Governance

  • Support Board Operations: Assist in the preparation of board and committee meeting materials, including drafting resolutions, meeting minutes, and coordinating agendas to ensure seamless governance.
  • Drive Corporate Compliance: Stay up-to-date on corporate law developments and governance trends to ensure internal policies and procedures remain aligned with best practices.
  • Cross-Functional Governance Support: Assist with the legal aspects of internal audits and sustainability governance initiatives, ensuring departmental compliance with corporate standards.

Autonomous Collaboration and Risk Management

  • Operate autonomously as a legal and strategic resource to non-lawyer business partners, providing practical, actionable, and solution-oriented legal advice.
  • Evaluate issues from both legal and business perspectives with a business-oriented approach to problem-solving.
  • Work collaboratively with finance, talent, and other cross-functional teams to ensure alignment on complex commercial matters.
  • Manage and oversee outside counsel with little direction, ensuring cost-effective service delivery.

Required Qualifications

  • J.D. Degree from an accredited law school with excellent academic credentials.
  • Active Membership in good standing in at least one U.S. state bar.
  • Minimum of 5-10+ years of dedicated, high-level experience practicing law.
  • Mastery-level expertise in drafting and negotiating complex commercial contracts. Experience with intellectual property is preferred.
  • Proven ability to handle multiple matters simultaneously and prioritize effectively in a fast-paced environment.
  • Exceptional strategic thinking, project management, and negotiation skills.

Physical Demands & Travel

  • Ability to perform normal office duties and operate office equipment.
