Job Description
As Legal Counsel, you will be part of DEME's legal department at headquarters, joining an ambitious and complimentary team of in-house legal counsels, responsible for different geographical regions in the world, DEME business units and specialist legal domains.
More specifically, you will join the legal team supporting DEME Concessions' worldwide activities. DEME Concessions is the investment vehicle of the DEME group, developing and investing in a diverse portfolio of projects across offshore wind, port infrastructure, green hydrogen and other special projects. Working closely with the business and DEME's other supporting departments, you will provide legal support throughout the full lifecycle of these international projects, from early-stage development and tendering to financing, contract award, and execution.
Your Responsibilities
- Providing legal support for DEME Concessions' international project portfolio, including port extensions, river concessions, offshore wind projects, as well as pioneering green hydrogen initiatives and other related developments.
- Supporting the business in all legal aspects of these projects throughout their lifecycle, from early-stage opportunity assessment, tendering and bid structuring to contract award, financial close, execution and ongoing asset/participation management.
- Advising on a broad range of legal and contractual matters relating to development, investment and project delivery activities, including negotiating, drafting, review and amendment of cooperation agreements, development agreements, shareholder agreements, share purchase agreements, concession agreements, EPC and DBFM contracts, financing documentation and other project-related agreements.
- Play a key role in bringing projects and agreements into the execution phase, including by supporting the financing process and helping projects reach financial close.
- Leading the legal workstream for transactions and projects, while coordinating support -if and when needed - from reputable external law firms across different jurisdictions.
- Providing practical legal advice on a wide range of legal matters relating to DEME Concession's participations and activities.
Your Profile
- You hold a Master's degree in Law.
- You have at least 5 years of relevant experience, preferably as a lawyer or in-house counsel in an international environment.
- Prior experience with concession-based projects, public-private partnership (PPPs), deal structuring and/or project finance is considered an asset.
- You are fluent in spoken and written English. Knowledge of other languages (Dutch, French), is an asset.
- You have strong communication, relational and contract drafting skills.
- You have affinity with ports, marine infrastructure, the offshore industry and/or renewables sector.
- You are creative in developing and proposing practical solutions.
- You bring an open, international mindset and are willing to travel occasionally, including at short notice, with respect for and understanding of different cultures.
- You are curious, intellectually agile, eager to learn and open-minded.
- You are responsive, tenacious, and driven to succeed.
- You are well organized, stress-resilient and able to manage multiple projects simultaneously.
- You are assertive, self-confident and a true team player, while also being able to work autonomously.
