Job Description

The Senior Attorney will report to the General Counsel and will work closely with both the General Counsel and the Chief Legal Officer on legal work related to the Company's roles as an Engineering, Procurement and Construction ("EPC") contractor for the utility scale solar engineering, procurement, and construction industry. He or she will also be responsible for legal work for the Company and its affiliates, including affiliates in the photovoltaic, BESS, and high voltage infrastructure EPC market. Legal work performed will include writing, reviewing, summarizing, researching, and negotiating a wide variety of agreements. He or she will also be responsible for legal duties connected with the business and will work closely with the Pre-Construction Teams. Matters to be handled will include the following: drafting, reviewing and negotiating EPC agreements, preconstruction services agreements, master services agreements, subcontractor agreements, professional services agreements, purchase orders, confidentiality agreements, engineering agreements, operations and maintenance agreements, and other general business contracts, and other construction related documents.

Primary Responsibilities

  • Review, revise, and negotiate EPC agreements.
  • Serve as an advisor to Company management and employees on legal issues arising from Company business. Provide advice to Company management on project risks, legal issues surrounding contracts, company business, and general commercial or contractual negotiations and other legal matters.
  • Provide advice on general corporate matters.
  • Aid/oversight to operations personnel on project contract issues, including contractual notice requirements, claims management, dispute resolution and other construction project issues.
  • Advise management in the negotiation of business transactions and assist with the negotiation of construction agreements, subcontracts, and other legal agreements.
  • Work with outside counsel where necessary based upon the size, importance and/or complexity of the issues presented by a contract or transaction.
  • Assist in the management of outside counsel in litigation and arbitration matters.
  • Handle legal inquiries from within the Company and its affiliates.
  • Prepare summaries of legal matters, as necessary.
  • Conduct training for personnel of the Company and its affiliates on substantive legal topics, including proper contract management for project personnel, as well as proper project documentation.
  • Advise management on market and business advantages/disadvantages of legal strategies in the overall context of growing the Company's business in each of its sectors.
  • Advise executives on contract status, legal risks and business terms of transactions.
  • Aid with joint ventures, strategic partnership deals, and mergers and acquisitions.
  • Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
  • Keep abreast of legislative changes that may affect the company and its affiliates.
  • Performs other duties as assigned by the Chief Legal Officer or General Counsel and senior management team.
  • Advise human resources personnel on employment related matters across all affiliates.

Experience and Capabilities

  • J.D. from an accredited American law school, and the admission to a state bar.
  • 6+ years active and full-time licensed experience related to construction law, specifically focusing on energy or complex infrastructure projects and the drafting and negotiating EPC agreements; candidates with solar energy/power plant construction experience will be given preferential consideration.
  • Solid understanding of construction litigation, contract law, and risk management principles.
  • Solid oral and written communication skills as evidenced by application materials.
  • Preference will also be given to candidates with experience representing contractors in labor, construction, or renewable energy matters.
