Your function
The Corporate Governance & Entity Management Officer ensures that EGI's international entities and governance processes operate efficiently, compliantly, and in alignment with Group standards.
Acting as a key operational partner to the COO Office, this role focuses on entity lifecycle coordination, corporate governance execution, and contract management oversight across multiple jurisdictions.
This is not a pure legal advisory role. It is a governance execution and coordination position requiring structure, ownership, and cross-functional collaboration in a complex, multi-entity environment.
Typical activities involve (but are not limited to):

Entity Governance & Lifecycle Management
- Coordinate documentation related to the creation, modification, maintenance, and closure of EGI's international entities (subsidiaries and branches).
- Maintain corporate registers, lists of directors, powers of attorney, and key corporate documents (Articles, MoA, CR12, business licenses, shareholder minutes, etc.).
- Liaise with Legal, Finance, and the Group General Secretariat to ensure governance alignment and proper documentation.
- Monitor governance obligations across jurisdictions and ensure timely follow-up of statutory requirements (e.g., UAE, KSA, Canada, Malaysia, USA).
- Prepare and consolidate documentation for Board meetings, internal controls, and audits.
- Identify potential governance gaps and proactively propose corrective measures.

Contract Lifecycle Coordination
- Coordinate the internal review and approval workflow for contractual matters, including:
- Service Agreements (with clients or internal group entities)
- Vendor contracts and consultancy agreements
- Partnership and consortium agreements
- Service-Level Agreements (SLAs) and framework contracts
- Ensure alignment of contract templates with Group standards.
- Maintain and update the contract register, tracking renewals and key deadlines.
- Facilitate cross-departmental collaboration to ensure timely and compliant sign-off.
- Coordinate the internal review and approval workflow for contractual matters, including:

Governance Projects & Process Coordination
- Support the COO in transversal governance initiatives (entity optimisation, digitalisation, workflow improvements).
- Lead small-to-medium improvement projects related to governance documentation and process efficiency.
- Contribute to the enhancement of entity management tools and document repositories (e.g., SharePoint, governance databases).
- Prepare dashboards, progress reports, and management presentations.
- Ensure structured follow-up of governance-related action plans across teams.

Your profile
Education & Experience
- Master's degree in Law, Corporate Law, Business or a related field.
- 4-6 years of professional experience in corporate governance, corporate secretariat, or legal entity management within an international (and consulting) environment.
- Proven experience maintaining corporate records and coordinating entity lifecycle processes.
- Experience drafting or coordinating board resolutions and corporate documentation.
- Familiarity with entity management systems (e.g., Diligent or similar platforms) is a strong asset.
Skills & Competencies
- Strong organisational and prioritisation skills; able to manage multiple entities and deadlines simultaneously.
- High attention to detail with a structured, process-oriented mindset.
- Strong drafting and documentation skills.
- Ability to coordinate cross-functional stakeholders across jurisdictions.
- Comfortable working with digital tools (MS 365 suite, SharePoint, document management systems).
- Fluent in English; knowledge of French or German, or additional European languages are an asset.
