Job Description

As a Legal Counsel, you will support all legal matters related to project development, commercial transactions, and compliance for the Company's operating solar farm and operating solar rooftop assets in Vietnam.

Responsibilities

Legal Advisory

  • Provide day-to-day legal advice on project development, investment, construction, commercial, permitting and regulatory issues in Vietnam.
  • Monitor key legal and regulatory developments related to renewable energy across Vietnam.

Contractual Matters

  • Draft, review, translate (in English/Vietnamese) and negotiate a variety of contracts including, without being limited to, ELAs, PPAs, EPC agreements, O&M agreements, lease or land agreements services agreements and other key commercial of financing documentation. This includes participation in and lead in negotiations with customers or other counterparties, as well as analysis of contracts to identify potential risks and liabilities.
  • Provide support and advice related to various contractual issues to all concerned departments (Business Development, Engineering, Construction, Asset Management etc.).

Permitting & Regulatory Compliance

  • Guide legal processes for obtaining project licenses, including but not limited to investment policy approvals, feasibility studies, master planning, construction permits, environmental approvals, land use approvals and certificates, and grid-connection agreements.
  • Draft and review periodical reports, explanation reports, project-related letters, required documents for being granted the project's permit/licenses.
  • Advise on compliance with Vietnamese investment, construction, electricity, and environmental laws, and support related applications.
  • Engage as and if necessary, with authorities and regulatory bodies to facilitate approvals and keep statutory documentation up to date.

Corporate compliance

  • Assist and liaise, where necessary, with corporate secretary (of any) or other stakeholders to ensure all entities in Vietnam comply with legal requirements for mandatory filings, board and shareholders meetings when required.
  • Provide advice or support as may be necessary in relation to the above.

Risk Management, Dispute Prevention & Resolution

  • Provide advice and support in litigation matters including contract disputes, property disputes and regulatory challenges; develop and implement strategies for dispute resolution; track all open matters and follow-up with the relevant person in charge to close such matters.
  • In particular, identify legal risks early and develop mitigation strategies across project execution phases.
  • In the event of disputes or claims (e.g., contractor performance, delays), coordinate internal strategy and engage external legal counsel.

Others

  • Provide support for M&A opportunities, by working closely with in-house M&A Counsel and external counsel.
  • Plan, implement, monitor and report on assigned tasks.
  • Achieve the job targets and/or key performance indicators (KPIs) assigned by the Company from time to time.
  • Liaise with internal teams and external counsel to ensure delivering high-quality legal services in a cost-effective manner.

Requirements

  • Bachelor's or Master's degree in Vietnamese Law.
  • 5+ years of legal experience, combining law firm and/ in-house counsel roles, ideally with a focus on renewable energy, infrastructure, or major commercial projects.
  • Proven experience with ELAs/PPAs, EPC/O&M contracts, permitting, and commercial legal negotiation in Vietnam.
  • Strong understanding of Vietnamese legal and regulatory frameworks relevant to energy projects.
  • Excellent drafting, negotiation, and communication skills in English; Vietnamese legal drafting skills essential.
  • Ability to work independently and manage multiple priorities under tight deadlines.
