Job Description
Responsibilities
- Strategic Legal Advice: Provide expert counsel on project financing, energy projects, and commercial contracts to ensure regulatory compliance and risk mitigation.
- Finance Documentation: Manage the drafting, reviewing, and negotiation of senior loan agreements, security packages, and hedging agreements.
- PPA & Market Agreements: Lead the legal structuring of physical and virtual PPAs, tolling agreements, route-to-market strategies, and balancing agreements.
- End-to-End Deal Management: Take ownership of the full legal lifecycle for complex infrastructure and energy transactions from development through to execution.
- Cross-Functional Collaboration: Partner with internal teams and senior management to provide strategic guidance on banking, finance, and corporate law.
- Risk Management: Identify and mitigate legal risks throughout the deal cycle, advising on contractual obligations, risk allocation, and dispute resolution.
- External Counsel Coordination: Manage relationships and workflows with external legal firms, particularly for complex cross-border transactions.
- Compliance Oversight: Ensure all project activities and corporate actions align with applicable laws, international regulations, and internal company policies.
Requirements
- Law degree from a recognized institution; admission to practice law in [jurisdiction].
- Minimum 7 years of post-qualification experience, preferably with a top-tier law firm or in-house legal department of an energy/infrastructure company handling project finance and PPA transactions/ Relevant experience in the banking sector, within Project Finance departments
- Solid experience in drafting, negotiating, and advising on project financing and PPA documentation, as well as large-scale infrastructure/energy projects.
- Strong understanding of banking, corporate, and regulatory frameworks related to project finance.
- Excellent communication, negotiation, and stakeholder management skills.
- Ability to work under pressure, prioritize effectively, and deliver results in a fast-paced environment.
- Fluent in English, with excellent written and verbal communication skills.
- Exposure to international financing institutions (e.g., multilateral development banks, export credit agencies).
- Experience with cross-border transactions.
- Strong analytical and problem-solving skills.
- Commercial mindset with the ability to balance legal and business considerations
